General Terms and Conditions of Sale
1. Purpose
These General Terms and Conditions of Sale govern the contractual relationship between Tonnellerie de Jarnac SAS and the customer, covering any order for products or services.
2. Prices
Prices shown on the order form are expressed in euros, excluding tax or including tax, as indicated.
They are firm and non-revisable, unless otherwise stated in the quotation or order form.
3. Order
By signing the order form, the customer fully and unconditionally accepts these General Terms and Conditions of Sale.
Any modification to an order must be agreed upon in writing by both parties.
4. Payment Terms
Unless otherwise specified on the order form,
invoices are payable within 30 days end of month or 60
days from the invoice date, as agreed with the customer.
The payment method may vary depending on the country, the
applicable Incoterms, or the nature of the transaction.
Only the payment method specified on the order form shall be
deemed valid and binding.
In case of late payment, interest on overdue amounts will automatically apply without prior notice, calculated based on the most recent refinancing rate of the European Central Bank, plus 10 percentage points, or the applicable legal rate if different.
A fixed recovery fee of €40 will also apply per overdue invoice.
If actual recovery costs exceed this amount, additional compensation may be claimed upon justification.
5. Delivery or Execution Times
Delivery or execution times are provided for
information purposes only.
Delays shall not entitle the customer to cancel the order or claim damages,
unless otherwise agreed in writing.
6. Retention of Title
Goods remain the property of Tonnellerie de Jarnac SAS until full payment has been received.
7. Claims
Any claim relating to the order must be submitted in writing within 30 days following delivery or completion of the service.
After this period, the delivery or service will be considered accepted and compliant.
8. Liability
Tonnellerie de Jarnac SAS> shall not be held liable for any indirect or consequential damages (such as loss of revenue, data loss, etc.) arising from the order.
9. Governing Law and Disputes
These terms are governed by French law.
In the event of a dispute, and failing an amicable settlement, jurisdiction is assigned to the court of the company’s registered office

Data collected in connection with the order are used exclusively for its execution and will not be shared with third parties without the customer’s consent.
